Forestry Joint Committee

​​Whanganui District Council, South Taranaki District Council and Ruapehu District Council, which own various interests in certain forest lands within the greater Whanganui area, administer the forestry portfolio as a joint committee.

  1. ​​​BACKGROUND

The Whanganui District Councils' Forestry Joint Committee (Joint Committee) comprises 3 Territorial Authorities being Whanganui District Council (95.09%), South Taranaki District Council (0.98%) and Ruapehu District Council (3.93%) hereinafter referred to as "the Councils".  The Councils' own various interests in certain forest lands within the greater Whanganui area and administer the forestry portfolio as a Joint Committee.  

A He​​ads of Agreement outlining the terms and conditions of this joint partnership was entered into by the 3 Territorial Authorities on 16 September 1996.

  1. NATURE AND SCOPE OF ACTIVITIES

    The core business is to grow and sell standing timber and logs of a quality suitable for both local and export consumption.

  1. GOVERNANCE AND MANAGEMENT

    1. The Councils' have agreed that the business shall be managed by the Joint Committee.

    2. The Joint Committee is responsible for the governance, ownership and monitoring role, on behalf of the shareholders.  

    3. The Joint Committee will prudently manage the financial assets and liabilities to increase the value of the business and to optimise the return on shareholder's funds.

  1. JOINT COMMITTEE MEMBERS

The Whanganui District Councils' Forestry Joint Committee shall comprise:

  • A Chairperson
  • A Deputy Chairperson
  • 4 appointed Committee Members

Each Council shall be entitled to appoint one (1) person to the Joint Committee, except in the case of Whanganui who shall be entitled to appoint four (4) persons.

  1. DURATION OF TERM

Each member is appointed for a term of 3 years with an assumed start date of the nearest to the FIRST MEETING of the Council after a local body election herein referred to as 'the new term'.  In the case of a Councillor their term is determined by the Council.

  1. APPOINTMENT OF CHAIRPERSON AND DEPUTY CHAIRPERSON

Chairperson

  • The inaugural Chairperson is appointed by the Mayor of Whanganui District Council at the FIRST MEETING of the Whanganui District Council.
  • The subsequent Chairperson appointment shall be elected from the Joint Committee members at its first meeting of the new term.
  • The Chairperson is appointed for a term of 3 years from the first meeting of the new term.  The Chair must retire after this period and may stand again for a further term of 3 years.  

Deputy Chairperson

  • The Deputy Chairperson appointment shall be elected from the Joint Committee members at its first Committee meeting of the new term.
  • The Deputy Chairperson is appointed for a term of 3 years from the first Committee meeting of the new term.  The Deputy Chairperson must retire after this period and may stand again for a further term of 3 years.  
  1. MEETINGS AND REPORTING

Reports will be delivered at least once per annum and within three months following the end of each financial year.  The Joint Committee will deliver to the Shareholders:

  1. A report on the operations of the business, including a recommended maximum dividend.
  2. Financial statements for the financial year.
  3. Harvesting projections for the next 10 years.

Within two months following the halfway point of the financial year, the Joint Committee will report to the shareholders on the general state of finances and highlight any significant aspects which are likely to impact on the business or expected dividend.

  1. QUORUM

No business shall be transacted at any meeting unless a quorum of Councils' is present at the time when the meeting proceeds to business.  Two Councils' (including at all times Whanganui District Council) present by half the number of representatives (a majority if the number of representatives is an odd number) shall form a quorum.

  1. DELEGATIONS

    1. The Joint Committee has delegated year to year forest management and harvesting, sales and replanting to Whanganui District Council under the guidance of the Board of Directors of Whanganui District Council Holdings Limited.  

    2. The Joint Committee is administered by Whanganui District Council.

  1. ADMINISTRATION

  • Whanganui District Council will provide all administration tasks including capturing of financial information and legislative reporting.
  • Record-keeping and distribution of information to South Taranaki District Council and Ruapehu District Council via their representative.
  • Whanganui District Council will appoint a Forest Manager to manage the day-to-day operational duties of the portfolio.
